The authoritative original of these Terms of Service is the Japanese version. This English translation is provided for reference only; in the event of any discrepancy, the Japanese text shall prevail.
Article 1 (Application)
These Terms set out the conditions of use of OEM JAPAN (the "Service") between every user of the Service (the "User") and the operator of the Service (the "Operator"). By using the Service, the User is deemed to have agreed to these Terms.
Article 2 (Service Contents)
- The Service is a database service that provides information on OEM manufacturers to businesses seeking OEM production.
- Manufacturer information on the Service is independently compiled by the Operator based on public information such as each manufacturer's official website, and does not indicate any partnership, endorsement, or agency relationship between the listed manufacturers and the Operator.
- Users may consult the Operator about OEM production through the Service. Where the Operator deems it appropriate, the Operator may act as an intermediary by forwarding the consultation to a manufacturer, but the Operator does not guarantee that such intermediation will occur.
- With respect to information submitted by the User through any form on the Service (including quote request forms, consultation forms, and project posting forms), the Operator may contact the relevant OEM manufacturer on behalf of the User to respond to the User's request. In such case, the company name, name, contact information, product requirements, and other information entered into the form by the User will be provided to the manufacturer. By submitting a form, the User is deemed to have consented to such proxy contact and information sharing.
- Manufacturing contracts shall be concluded directly between the User and the manufacturer, and the Operator shall not be a party to such contracts.
Article 3 (Listed Information)
- Manufacturer information on the Service is independently collected and edited by the Operator based on publicly available information. In some cases, individual permission has not been obtained from the manufacturer prior to listing.
- If a listed manufacturer requests correction or removal of information, the Operator will respond promptly.
- The Operator does not guarantee the accuracy, timeliness, or completeness of the listed information. Users are asked to treat the listed information as reference material only.
Article 4 (Prohibited Acts)
In using the Service, the User shall not engage in any of the following acts:
- Acts that violate laws or public order and morals
- Acts of registering or submitting false information
- Acts that interfere with the operation of the Service
- Acts that cause disadvantage to other users or manufacturers
- Acts of improperly collecting information from the Service
Article 5 (Intellectual Property Rights)
- Intellectual property rights relating to content posted on the Service (text, images, design, etc.) belong to the Operator or to third parties holding legitimate rights.
- Intellectual property rights relating to information submitted by the User through any form (product outlines, consultation contents, etc.) belong to the User. The Operator may use such information solely for the purpose of carrying out intermediation services and improving the Service.
Article 6 (Disclaimer)
- The Operator does not guarantee the accuracy, completeness, or usefulness of the information posted on the Service.
- The Operator shall bear no responsibility for any transactions, negotiations, or contracts between the User and any manufacturer.
- Except in cases of the Operator's willful misconduct or gross negligence, the Operator shall bear no responsibility for any damages arising from use of the Service. The same applies to indirect damages, lost profits, business interruption losses, and the like.
Article 7 (Changes to These Terms)
The Operator may change these Terms when it deems necessary. When the Terms are changed, the updated content will be posted on the Service. For changes that materially affect Users, notice will be given on the Service at least 14 days before the effective date of the change.
Article 8 (Governing Law and Jurisdiction)
The interpretation and application of these Terms shall be governed by the laws of Japan. The Tokyo District Court shall be the exclusive agreed jurisdictional court of the first instance for any disputes relating to the Service.
